Is this a good buy? i am looking to make an HTPC

There are plenty of threads covering hardware considerations. I suggest you do some research and decide for yourself based on your needs (which you made no mention of).

Generally speaking the slowest CPU you want for XBMC is a 2.0Ghz C2D (double the cache of your pentium) and even that isn't guaranteed to play all 1080p video. If you just watch SD or even 720p, your config should work fine. Otherwise, upgrade the CPU. I suggest a 2.4Ghz C2D as a reasonable minimum spec.
