Advice on building a media player

I would like to buld a media player for my home theater. My requirements are as follows:

Handle video up to 1920x1080p, preferably up to 120fps.
Handle bitstream audio from ripped BR and DVD's
Put audio and video out a single HDMI 1.3 connection
Have at least a 100mb ethernet connection preferably Gigabit
Can be Windows(XP) or Linux(Ubuntu) based, windows preferred
Fanless system, No controls required, USB ports for Flash drive. CD/DVD Rom
Mobo Form factor can be anything mini ATX or mini ITX preferred
Would like minimum number of plugin cards; Ideally mobo to have Video, Audio, LAN on board
Ability to boot from Falsh drive
hdd can be SSD or 2.5" drive SATA preferred,
Dual video outputs of possible; second one being VGA for monitor
Case will be slim fanless desktop, black 2-4 inches in height

What I am looking for is a recommendation on a Mobo that meets these requirements and if not fully met by the mobo what plug in cards would complete the system. I deally this mobo and associated plugins is running in a your system or one you know about. This would give me a good headstart!

Hmmm..

Based on your requirements (especially wanting to bitstream HD audio) means that you need an recent ATI board, and you need Windows 7.

I will look more later (as I don't know ATI stuff very well as I avoid it) and post back...
